2. Services Provided

For Clients (Students and Families)

  • Consulting Services: College Eagle provides personalized consulting services, including:

    • Essay review and editing
    • College list building
    • SAT/ACT preparation
    • Financial aid and scholarship advice
    • Interview coaching and preparation
    • Application review and submission assistance
  • Scheduling: Clients may schedule one-on-one consultations or purchase service packages via our website. All consultations and services are subject to availability.
  • Fees: All services offered through College Eagle are subject to fees. Fees will be displayed in the Consulting/Engagement agreement signed by the client. All fees are due once the client is billed.

For Consultants

  • Registration: Consultants must create an account to offer services through College Eagle. They are responsible for providing accurate information, including their qualifications, experience, and areas of expertise.
  • Consultant-Client Relationship: Consultants will work directly with clients and are responsible for the quality and timeliness of the services they provide. College Eagle is not responsible for the content or results of any consultant’s work.
  • Payment and Commission: Consultants are compensated based on the fees collected from clients. College Eagle may retain a commission on each service fee, and compensation arrangements will be outlined in the consultant’s agreement with the Company.

For Website Users and Members of the Public

  • Access to Content: Users can browse educational resources, blog posts, articles, and college admissions tips available on the website.
  • Account Creation: To access certain services or book consultations, users must create an account. Account creation may require personal details such as name, email, and phone number.

3. Client Responsibilities

As a consultant, you agree to the following:

  • Confidentiality: You will keep client information confidential and not disclose or misuse any personal or academic data shared during consultations.
  • Compliance: You will comply with all relevant laws, regulations, and ethical standards related to educational consulting and admissions guidance.
  • Non-Discrimination: You will offer services that are non-discriminatory and respectful of all clients, regardless of race, religion, gender, sexual orientation, or socioeconomic background.
5. Use of the Website

By using the website, you agree to the following:

9. Termination of Access

College Eagle reserves the right to suspend or terminate the account of any user or consultant who violates these Terms. If a client or consultant terminates their account, they must fulfill any outstanding obligations, including payment for services already rendered.

10. Limitation of Liability

  • To the fullest extent permitted by applicable law, College Eagle and its consultants, employees, agents, and affiliates (collectively, "the Company") will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the website, services, or the results of the consulting services, including but not limited to loss of opportunity, loss of income, or emotional distress.

    In no event shall the Company’s total liability for any claim, loss, or damage arising from or related to the services exceed the total amount paid by the client for the specific service that gave rise to the claim.

Indemnification

  • You agree to indemnify, defend, and hold harmless College Eagle, its consultants, employees, agents, and affiliates from any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with:

    Your use of the services provided by College Eagle.
    • Any breach of these Terms and Conditions by you or your agents, representatives, or other users of your account.
    • Any content you submit or provide to the Company or to any consultant during the consultation process.
    • Any claims brought against College Eagle by a third party related to your use of the services or your actions in relation to the college admissions process.
  • You agree that this indemnification provision will survive termination of your use of the services and any agreements or contracts related to these Terms.

11. Dispute Resolution and Governing Law

These Terms and any disputes arising out of or in connection with the use of the website or services will be governed by and construed in accordance with the laws of Dallas, Texas. Unless otherwise agreed in writing by the parties, any disputes will be resolved through binding arbitration in Dallas, Texas.

Below are the contract clauses for the specified requirements with legally enforceable language for a college admissions consulting company.

14. Non-Disparagement Clause

The Client agrees that they will not, directly or indirectly, disparage, defame, or make any negative statements or comments about College Eagle, its employees, consultants, or any affiliated individuals or entities. This includes, but is not limited to, any public or private comments, whether written, oral, or electronic, made to any third party, including social media platforms, public forums, or other communication channels.

The Client understands that any breach of this provision may result in legal consequences, including, but not limited to, a claim for damages suffered by the Company. The Client acknowledges that such damages may include, without limitation, harm to reputation, loss of business opportunities, and legal fees. The Company reserves the right to seek both injunctive relief and monetary damages for any violation of this clause.

15. Non-Disclosure Agreement (NDA) Clause

The Client agrees that, upon request from College Eagle, they will execute a Non-Disclosure Agreement (NDA) with the Company. This agreement shall cover the protection of any confidential or proprietary information that the Company deems necessary to protect in the course of providing services. The Client acknowledges that the failure to sign an NDA, if requested, may result in the termination of the consulting relationship, and the Client may beheld liable for any damages resulting from unauthorized disclosure of confidential information.

The Client further agrees to comply with the terms and conditions of any signed NDA and understands that any breach of such agreement could result in legal action, including claims for damages, legal fees, and injunctive relief.

16. Confidentiality and Proprietary Information Clause

The Client agrees not to disclose, distribute, or share any written communication, work records, scope of work, or any other details of the work done by College Eagle with any third parties without the prior written approval of the Company. The Client acknowledges and agrees that all materials, documents, strategies, work records, and communication provided by the Company in connection with the services are the proprietary and confidential information of College Eagle.

The Client further agrees that the unauthorized disclosure of such information constitutes a material breach of this Agreement and may result in legal action. In the event of such a breach, the Client may be held financially liable for any damages incurred by the Company, including but not limited to lost business, harm to reputation, and legal fees. The Client acknowledges that such information is critical to the business operations of College Eagle and that disclosure without the Company’s consent would cause significant harm to the Company’s interests.

In addition to financial penalties, the Company may seek injunctive relief to prevent further unauthorized disclosure or use of its proprietary information.

By using the College Eagle website or registering for services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
